Bruce Bringardner is a business transactions lawyer with more than 30 years experience handling corporate, merger and acquisition, real estate, tax, estate planning and probate matters. His corporate practice includes formation of corporations, limited partnerships and limited liability companies, sales and acquisitions of business entities, and preparation of buy-sell agreements and employment agreements. His real estate practice includes sales and purchases of improved and unimproved property, land use and development, negotiation and drafting of leases and subleases, and mortgage loan transactions. He also provides tax advice with respect to the structuring of real estate transactions, including 1031 Exchanges.
Bruce’s tax practice emphasizes federal and state tax planning for individuals and small businesses, including entity formation, planning for business and investment transactions, and employee benefits planning. He also provides advice for nonprofit corporations, including charitable and other tax exempt entities.
His estate planning practice includes federal estate and gift tax advice and preparation of wills, trusts, powers of attorney, living wills, family limited partnerships, private foundations, and life insurance trusts. He also provides probate and estate administration services.
Representative Experience
Represented Stafford Estates Limited Partnership in a takings case against the Town of Flower Mound, Texas, in which the Texas Supreme Court held that development exactions imposed on the developer violated the Texas Constitution and the Fifth Amendment.
Represented sellers and buyers in numerous stock and asset purchase transactions involving insurance agencies, insurance companies, trucking companies and other industries.
Represented landlords and tenants in numerous office, retail and ground lease negotiations and sublease negotiations.
Represented the developer of a 5,000 acre residential real estate project in Kaufman County, Texas, and the developers of many other residential and commercial real estate projects.
Represented borrowers and lenders in many commercial mortgage and asset based lending transactions, including workouts and foreclosures.
Provided advice to entities doing business in Texas regarding compliance with the revised Texas Franchise Texas (margin tax).
